About the role

In order to help support Cochlear’s growth, we are recruiting for an Associate General Counsel in our Americas head office based in Centennial, Colorado.  To be successful in this role, you’ll be able to call upon your previous experience to support the delivery of legal services to cross-functional groups, lead tactical compliance initiatives, and provide senior management with effective advice related to North American operations.

The Associate General Counsel is responsible for supporting the legal and compliance functions and is a highly visible leader and contributor to Cochlear’s regional and global legal teams.  Reporting to the Deputy General Counsel and working closely with other legal team members in the Denver metro office, this role will provide timely legal advice and enable the business by identifying solutions rather than highlighting problems or complexities.

Key Responsibilities

  • Ensures business practices comply with applicable laws, regulations and company policies, including but not limited to, HIPAA, FDA, CMS, OIG, FTC, Open Payments, Anti-Kickback, False Claims, Beneficiary Inducement, Anti-Bribery, Antitrust, and product liability laws, rules, regulations and guidance.
  • Counsels business partners on appropriate relationships with healthcare professionals, health insurance programs, clinics and societies, patients and advocacy organizations, managed care entities, and government entities and ensures such relationships comply with applicable legal requirements and company policies.
  • Reviews and counsels the business on advisory boards, speaker programs, patient assistance programs, and medical education initiatives.
  • Serving as a member of the Content Review Board, reviews advertising and promotional materials in concert with applicable consumer protection and healthcare compliance laws and regulations, and provides practical guidance to business partners on such materials.
  • Serves as a stakeholder on cross-functional PMO-driven initiatives to identify potential challenges and facilitate compliant solutions.
  • Supports meaningful training initiatives on key policies, procedures, practices and current enforcement trends.
  • Oversees the team responsible for negotiating and drafting a wide variety of commercial agreements, including purchase agreements, vendor agreements, provider enrollment agreements, business associate agreements, software-as-a-service agreements, research agreements, license agreements, non-disclosure agreements, and consulting agreements.  Supports the team with matters requiring escalation and drives to final resolution.
  • Supports team members with the identification, management, and resolution of potential data privacy and security issues.


Key Requirements

To add value to Cochlear in this role you'll be able to demonstrate the following skills and experience in your application and at interview:

Minimum:

  • Licensed and admitted to practice law in good standing in at least one U.S. state
  • Minimum 6+ years of relevant experience in-house or with a law firm specializing in medical device, pharmaceutical, biotechnology, life sciences, or health law matters
  • Experience with U.S. medical device and/or pharmaceutical marketing, advertising and promotion
  • Experience with consumer protection laws and data privacy laws
  • Commercial transactional experience in the medical device, pharmaceutical and/or life sciences industries
  • Experience managing product liability issues and dispute resolution
  • A genuine influencer and pragmatic business partner across all levels
  • Able to manage projects from inception through implementation in a team environment
  • Builds strong relationships and ensures that stakeholders receive timely, well-reasoned commercial legal advice
  • Action-oriented and motivated by a “roll your sleeves up” approach
  • Excellent presentation skills: able to communicate effectively to large audiences, small teams, and organizational leadership
  • Able to explain complex legal issues in a clear and relatable manner
  • Excels at working in a cross-functional environment and identifying the commercial objective
  • Able to manage multiple high-priority projects simultaneously
  • Able to process complex facts and navigate ambiguity
  • Accountable and hands-on, self-starter, results oriented
  • Steady, thoughtful and mature under pressure
  • Effective organizational, problem solving, verbal and written communications skills
  • Proven negotiation skills with ability to define strategies and lead negotiations
  • Ability to work independently with minimal oversight

  • Experience with direct-to-consumer business practices
  • Experience with group purchasing organizations and hospital-initiated RFPs
  • Experience sourcing and implementing contract management software
  • Experience with real property and employment law matters
  • Experience with quality management systems and regulations
  • Experience with health insurance claims processing, reimbursement, and operational processes
  • Experience with DMEPOS Supplier Standards
  • Experience managing non-attorney personnel
